Lyntris IPO: Defense tech debuts on the NYSE

Pre-IPO trading in Lyntris shares is underway through Freedom’s client trading platform. The mid-cap defense tech makes sensors for missile and air defense. Later on Wednesday, Lyntris will debut during the main session on the New York Stock Exchange under the ticker symbol LYNX.

Defense tech Lyntris has raised $100 million in a downsized IPO on the NYSE. It sold 5.7 million shares at $17.50 apiece, below the lower end of its previously announced price range of $19-22 per share. Existing Lyntris stockholders, including private equity firm Trive Capital, received another $197.5 million from the sale of 11.28 million shares.
The company and its stockholders thus raised a total of $297.5 million, although they had initially sought to raise up to $528 million, planning to sell almost 4.9 million shares and 19.0 million shares, respectively. An IPO at the top of the price range would have given Lyntris a market capitalization of $1.89 billion, Bloomberg notes.
Evercore ISI, Citigroup, Guggenheim Securities, BofA Securities, Baird, Raymond James, and William Blair served as the underwriters. The selling stockholders granted them a 30-day option to purchase up to 2.55 million additional Lyntris shares.
Lyntris plans to use the proceeds to repay around $60 million outstanding under its new revolving credit facility, according to a press release. The remaining funds will go toward working capital and additional development efforts.

Lyntris was formed in May through the merger of two Trive Capital portfolio companies: Vitesse, a developer of sensor technology, and Accelint, whose AI software enables data analysis. Lyntris was built around a targeted acquisition strategy in which each new deal filled a specific node in the value chain, according to the prospectus filed with the SEC. The company’s portfolio now includes “sense-to-act” connectivity solutions that enable the U.S. and its allies to detect threats earlier, decide faster, and act with precision, as stated in the prospectus.
In modern warfare, adversaries operate simultaneously across space, air, land, sea, and cyber domains, defense industry portal Access Hub writes. “Most defense systems operating today were built for a different kind of fight,” Lyntris CEO Brian Morrison explained. What is needed now is the rapid fusion of data from distributed systems, resilient communications under electronic warfare conditions, and the ability to execute coordinated actions at machine speed, Access Hub added.
Digging deeper
Lyntris has gone public during a period of significantly increased global defense spending, points out Minichart. The 2026 U.S. National Defense Strategy prioritizes deterring threats, while the total cost of the proposed U.S. Golden Dome missile defense system is estimated at around $185 billion.
Lyntris technology already supports more than 200 defense programs run by the U.S. Defense Department and several of its allies, Access Hub notes. At the end of the first half, the company’s order book was up 112% year over year at $923.9 million. Revenue for the first half increased around 35% to $241 million.
However, the company remains unprofitable. Its net loss widened 34% to $13 million in January-June, driven largely by debt service costs, Minichart noted. Using the proceeds to repay the debt will reduce some of its interest expense and could help move the company closer to profitability.
Freedom Broker analyst Alem Bektemirov identified competition, dependence on government contracts, and reliance on suppliers as the main risks for Lyntris. He set a target price of $19.79 per share, implying 13% upside from the IPO price.
“Defense companies need to show sustainable growth from core products, not one-off programs, to win over investors,” Renaissance Capital senior strategist Matt Kennedy told Reuters.
