Small cap Dream Finders to acquire Beazer, forming sixth-largest home builder in U.S.

Homebuilder Dream Finders Homes, which has a market capitalization of $1.36 billion, has agreed to acquire its smaller peer Beazer Homes. The deal will create the sixth-largest company in the industry. Talks between the companies lasted more than six months, during which Beazer rejected five offers from Dream Finders.

Dream Finders will acquire Beazer for $33.50 per share, the companies said. That was roughly in line with Beazer’s share price on Thursday, the day before the deal was announced.
The transaction values Beazer’s equity at $915 million based on the number of shares outstanding, the Wall Street Journal estimates. Including debt, the deal values Beazer at approximately $2.2 billion, according to the press release.
The combined company will become the sixth-largest U.S. homebuilder, the companies note. Efficiency gains and lower duplicative costs will generate annual savings of $100 million. Dream Finders said the transaction is expected to be “double-digit percentage accretive” to its earnings per share in the first year following the merger. In 2025, diluted EPS were $2.14.
The boards of both companies unanimously approved the deal. The companies plan to close it in the fourth quarter, subject to approval by Beazer shareholders and regulators.
Markets reacted asymmetrically to the news of the deal. Dream Finders shares gained more than 7% on the New York Stock Exchange on Friday to $15 apiece, while Beazer stock edged lower, leaving the company with a market capitalization of $906 million at the close.
Context
It took Dream Finders several months to reach an agreement. In February, it offered to acquire Beazer for $28.50 per share before raising its offer to $29.00 per share in March, the Journal writes.
Beazer reported a loss for its fiscal-2026 second quarter, sending its shares lower. That prompted Dream Finders to lower its valuation to $25.75 per share. However, after Beazer began receiving acquisition offers from other bidders, Dream Finders raised its offer first to $29.25 per share and then to $32.00 per share. The final offer valued Beazer at $33.50 per share.
What analysts say
The deal is a “net positive” for Texas-based Dream Finders, BTIG analyst Ryan Gilbert wrote in a note cited by Barron’s. The companies’ geographic footprints and their products are “complementary,” he argues.
According to MarketWatch data, only two Wall Street analysts cover Dream Finders, and both rate it a “hold.” The average target price is $18 per share, implying 20% upside from the Friday close.
